1. Acceptance of these Terms
By accessing or using toolwinder.com (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. We may update these Terms as described in Section 12; continued use of the Service after an update constitutes acceptance of the revised Terms.
2. Description of the Service
Toolwinder provides free, browser-based utility tools (including, but not limited to, PDF, image, time, text, developer, and randomization tools) that run entirely client-side in your web browser. No account or registration is required, and no fee is charged for use of the tools currently offered.
3. Local processing; no receipt of your content
Every tool on the Service processes your files, text, and other inputs locally, within your own browser. We do not receive, transmit to a server, store, view, or otherwise have access to any content you process using the Service. You are solely responsible for the content you input into any tool, for maintaining your own backups, and for ensuring you have the necessary rights to use, modify, or process that content, including where it is subject to copyright, confidentiality obligations, or the rights of third parties.
4. License to use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, personal or commercial. This license does not include any right to (a) copy, resell, or sublicense the Service or its underlying source code; (b) reverse engineer, decompile, or attempt to extract the source code of the Service except to the extent such restriction is prohibited by applicable law; or (c) use automated means to scrape, crawl, or place excessive load on the Service outside of normal browser use.
5. Intellectual property
The Service, including its design, user interface, branding, logos, and underlying software (excluding content you process through a tool, which remains yours), is owned by Toolwinder or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of the Service to you.
6. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation, or the intellectual property, privacy, or other rights of any third party;
- Generate, process, or distribute content that is unlawful, fraudulent, defamatory, or infringing (for example, using a tool to forge a document or fabricate misleading credentials);
- Introduce viruses, malware, or other harmful code, or attempt to gain unauthorized access to the Service or its infrastructure; or
- Interfere with or disrupt the integrity or performance of the Service.
7. No warranty
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any particular tool will produce a result free of defects, and we do not warrant the accuracy, completeness, or reliability of any output (for example, converted files, generated text, or calculations).
8. Limitation of liability
To the maximum extent permitted by applicable law, Toolwinder and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages. Because the Service is provided free of charge, our aggregate liability for any claim arising out of these Terms or the Service is limited to the greater of (a) the amount you paid us to use the Service in the twelve months preceding the claim (which, for most users, is zero), or (b) fifty U.S. dollars (USD $50).
9. Indemnification
You agree to indemnify and hold harmless Toolwinder and its operators from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, the content you process through it, or your violation of these Terms.
10. Availability and changes to the Service
We may add, modify, suspend, or discontinue any tool or feature of the Service at any time, with or without notice, and without liability to you. Because the Service is offered free of charge, continuity of any particular tool is not guaranteed.
11. Third-party links
The Service may contain links to third-party websites. We do not control and are not responsible for the content, privacy practices, or terms of any third-party site, and inclusion of a link does not imply endorsement.
12. Changes to these Terms
We may revise these Terms from time to time. The “Last updated” date above reflects the most recent revision. Material changes will be reflected on this page; your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Toolwinder is operated, without regard to conflict-of-law principles, except where applicable law requires otherwise (for example, certain consumer-protection provisions for users located in the EU/UK or other jurisdictions with mandatory local law). 14. Severability & entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Toolwinder regarding use of the Service.
